August 30, 2025 Special Board Meeting Minutes
Present at the meeting were Gary Johanik, Bob Sukala, Dave Appelgren, Pam Brown and Suzi Misun.
1) Call to Order: Chairman Gary Johanik called the meeting to order at 8:40 a.m.
2) Agenda Presentation: The Agenda was distributed.
3) Verify Open Meeting Notice given: Chairman Johanik verified that the Open Meeting Notice had been given.
4) Discuss/possible approval to retain Clark and Clark Law Offices to represent the Town of Pilsen and to retain said firm to address alleged encroachment issues: Motion was made by Gary and seconded by Dave to approve retaining Clark and Clark Law Offices to represent the Town of Pilsen and to retain said firm to address alleged encroachment issues. A discussion followed. Motion carried.
5) Closed Session: The Board may entertain a motion to move in and out of Closed Session pursuant to
ss 19.85(1)(g) conferring with legal counsel for the governmental body who is rendering oral or written advice concerning strategy to be adopted by the body with respect to litigation in which it is or is likely to become involved.
Following the closed session, the Board may reconvene in open session to take any action necessary on the closed session items.

- Informed Consent and Conflict Waiver
The Board did not enter into Closed Session. The Legal Representation Terms and Conditions document and the Informed Consent and Conflict Waiver were reviewed and discussed by the Board.
Motion was made by Gary and seconded by Bob to agree to the Legal Representation Terms and Conditions with Clark and Clark Law Offices. Motion carried.

6) Adjournment: There being no further business, motion was made by Dave and seconded by Bob to adjourn. Motion carried. The meeting ended at 9:30 a.m.
